We are seeking a talented professional to join our growing Luxembourg office as a Corporate Officer. Client-focussed and service-oriented, we only employ individuals who are professionally minded, committed and able to demonstrate good interpersonal skills.The position of Officer forms part of the Corporate & Fund Legal team comprising of approximately 6 staff. The team is an integral part of our business in Luxembourg, which employs around 30 staff.The Officer will report to the Team Manager and to the board of Directors of Trident Trust Luxembourg.DutiesKey client contact person for the portfolio of client entities comprising a mixture of holding companies (Soparfi), business companies, private wealth management companies (SPF), securitisation funds/companies as well as regulated and unregulated Funds.Typical tasks will include: Preparation of the relevant documentation for the incorporation of new entities and assisting the compliance team with on boarding new business. Maintenance of the company database and files. Liaising with clients, representatives, third parties (external advisors, bank, ) and administrative follow-up, coordination of the execution of the relevant documentation. Provide general administration support to the client entities in compliance with statutory and legal requirements, including statutory filings, publications and fulfilment of formalities.Assist with the booking of the various aspects of the transactionsPrepare meeting agendas and board packs, convene, attend & minute meetings where necessary, prepare extracts of minutes, co-ordinate execution of legal documents, tracking and tracing documents (legalisation, apostille, review, signature verification )Preparation of standard legal documents (agreements, powers of attorneys, )Maintenance and update of the Shareholder’s registers. Ensuring client activities are in compliance with relevant laws and regulations in Luxembourg. Supervising and review the work of junior staff members AML/KYC support to the Compliance team and assist with the update and maintaining of corporate procedures ensuring compliance with all relevant legislation, guidance notes and codes of conduct helping minimising business and reputational risk. Ensuring all transactional payments and bank related matters are correctly settled by the corporate administrators in a timely manner To act as Director / Manager on Client entities, providing guidance and oversight as necessary on client affairs. In particular, identifying and providing oversight of key / sizeable client transactions and contract. Provide administrative support to the accounting and fund teams and encourage co-operation and communication between departments Provide other administrative services as may further be requested from time to time by the Management. Identifying potential problems, highlighting issues to senior officers and recommending ways to address those issues.Skills Required Background in corporate law (university degree) is required. Knowledge in Luxembourg corporate tax law is considered as an asset. Minimum of 2-3 years’ experience working in a similar position ideally within a fiduciary company. Common sense and good use of initiative including the ability to source information. Fluency in English and French (both written & spoken). German and / or Spanish will be considered as an asset. Good self-organisation and keen attention to detail. Good communication skills, both verbal and written. Ability to communicate effectively and in a timely manner; ability to respect agreed deadlines. Conscientious positive outlook and motivational attitude towards other staff. Keyboard skills – Word/Excel/Outlook. Thorough, working understanding of the local Luxembourg market and solid work experience from the local market are essential. Drive and desire to succeed and progress, someone looking to assume responsibility and develop quickly. Excellence customer service skills: committed to anticipating client needs and ensuring client satisfaction using appropriate interpersonal skills and demonstrating confidence and professionalism.TrainingOn the job training will be provided but the holder of the post will be expected to have previous experience of company secretarial procedures.
